FOREVERVAULT — TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the ForeverVault platform, services, websites, mobile interfaces, software, APIs, and related offerings (collectively, the "Service") provided by ForeverVault LLC, an Arizona limited liability company ("ForeverVault," "we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Service.
1. ACCEPTANCE OF TERMS
By creating an account, accessing, or using the Service, you acknowledge that:
a. You have read, understood, and agree to these Terms;
b. You are at least sixteen (16) years old and legally capable of entering into a binding agreement;
c. You consent to receive required transactional, security, and authentication communications, including SMS messages, in accordance with Section 11; and
d. You agree to ForeverVault's Privacy Policy, which is incorporated by reference.
These Terms supersede any prior agreements or understandings relating to the Service.
2. DESCRIPTION OF THE SERVICE
ForeverVault is an encrypted digital document vault designed to store and manage user-selected documents, information, and digital files ("User Content"). ForeverVault provides:
a. Client-side encryption, described in Section 3;
b. Secure document upload, storage, and retrieval subject to item and storage limits;
c. Immediate document sharing on all plans, and optional Delayed Share, Legacy Share, and "Trusted Contact" designation on paid plans;
d. Optional legacy-related features;
e. Optional blockchain-anchored timestamp certificates; and
f. Authentication mechanisms including SMS-based codes.
ForeverVault does not provide legal, financial, tax, estate, or investment advice.
3. ENCRYPTION ARCHITECTURE
3.1 Client-Side Encryption
All User Content is encrypted on your device prior to transmission to ForeverVault's servers, and is stored and transmitted in encrypted form. Your password is never transmitted to or stored by ForeverVault.
3.2 ForeverVault Holds a Recovery Key
You acknowledge and agree that ForeverVault holds a key capable of decrypting your User Content, and that ForeverVault is therefore technically able to read it. This is a deliberate feature of the Service and not a defect.
This key exists so that the Service can perform functions you have requested that are impossible without it, principally restoring your access after a forgotten password, and delivering your User Content to persons you have nominated at a time when you are not present to supply a password.
3.3 Permitted Uses of the Recovery Key
ForeverVault will use the recovery key only for the following purposes, and the Service is engineered to refuse any other use:
a. Restoring your access following a password reset that you initiate and for which you complete identity verification;
b. Delivering your legacy portfolio to recipients you have nominated, once the conditions you configured are satisfied;
c. Making content you have elected to share readable by the recipient you selected;
d. Releasing content to a Trusted Contact you designated, following the process you configured; and
e. Reading an encrypted contact detail you stored, so we can send an emergency message you configured.
ForeverVault will not use the recovery key to browse, review, monetise, train models upon, or otherwise inspect User Content. Each use of the key is recorded in an audit log.
3.4 What ForeverVault Does Not Hold
ForeverVault does not hold, and the Service may not be used to store, private cryptographic keys or seed phrases for third-party wallets or accounts. Encrypted passwords you choose to keep in the Digital Wallet are stored on your behalf and are not used by ForeverVault for any other purpose.
3.5 Legal Process
Because ForeverVault maintains a recovery key capable of enabling access to User Content, ForeverVault may be legally compelled to produce User Content in decrypted or otherwise intelligible form. ForeverVault will disclose User Content only when required by applicable law or by legal process that ForeverVault reasonably determines to be valid, binding, and enforceable.
To the extent permitted by law, ForeverVault will notify you before disclosing your User Content so that you may seek appropriate legal relief. If ForeverVault is legally prohibited from providing prior notice, ForeverVault may provide notice after the prohibition expires, unless otherwise prohibited by law.
ForeverVault reserves the right, but does not undertake an obligation, to challenge or seek to narrow any request that it reasonably believes is unlawful, defective, or excessive. Any legally compelled disclosure will, where reasonably practicable, be limited to the User Content specifically required by the applicable legal process.
Except as authorized by you, required by applicable law, or expressly described in these Terms or the Privacy Policy, ForeverVault will not disclose decrypted User Content to third parties.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Registration
To use the Service, you must create an account with accurate and complete information.
4.2 Account Security
You are solely responsible for:
a. Maintaining the confidentiality of your login credentials;
b. All activity occurring under your account;
c. Ensuring that your device is secure and free from malware.
4.3 Unauthorized Access
You must immediately notify ForeverVault at info@forevervault.com of any suspected unauthorized access.
ForeverVault is not responsible for losses arising from compromised credentials, devices, or networks.
5. USER CONTENT AND STORAGE LIMITS
5.1 Ownership
You retain all rights to the User Content you upload.
5.2 License to Store Encrypted Content
You grant ForeverVault a limited, revocable, nonexclusive license to store, transmit, and process encrypted User Content solely for the purpose of providing the Service.
5.3 Storage Limits
User accounts are subject to:
a. Item limits (3 items for Free, 500 items for Premium, unlimited items for Platinum);
b. Total storage capacity limits (500 MB Free, 5 GB Premium, 10 GB Platinum);
c. Maximum file size limits (50 MB Free, 100 MB Premium, 250 MB Platinum);
d. Technical restrictions necessary to maintain service integrity.
ForeverVault may enforce these limits at any time.
5.4 Sharing Features
Immediate Share — sending a document or note to a recipient you choose, and changing or revoking that access — is included on the Basic plan. Delayed Share, Legacy Share, and Trusted Contact designation require a Premium or Platinum plan. Blockchain-anchored proof requires a Platinum plan.
5.5 Prohibited Content
You may not upload:
Malware, viruses, or harmful code;
Illegal or infringing content;
Content that facilitates unlawful activity;
Sensitive cryptographic secrets such as private keys or seed phrases. Encrypted passwords in the Digital Wallet are permitted.
6. SUBSCRIPTIONS, LIFETIME PLANS, AND PAYMENTS
6.1 Subscriptions
Premium and Platinum Service tiers are offered on a subscription basis (monthly or annual). Subscriptions automatically renew unless cancelled.
6.2 Lifetime Plans
A "Lifetime" plan refers to the lifetime of:
a. The original account holder; or
b. The Service itself;
whichever ends first.
Lifetime plans do not guarantee perpetual service operation.
6.3 No Refund Policy
All fees—including subscription payments, lifetime plan payments, and upgrades—are non-refundable, to the maximum extent permitted by law.
6.4 Price Changes
ForeverVault may modify pricing at any time. For subscription users, price changes will take effect at the next renewal term.
7. INACTIVITY AND ACCOUNT STATUS
7.1 User-Selected Inactivity Period
Users may select an inactivity interval (e.g., 3, 6, 12, or 18 months). If no login or meaningful account activity occurs during this period:
a. ForeverVault may issue inactivity notices;
b. Failure to respond may result in account status changes.
7.2 Inactivity Notices
ForeverVault may send periodic verification notices to confirm account status. Lack of response may result in:
a. Notification to Trusted Contacts;
b. Restrictions on account functionality;
c. Marking the account as "inactive."
7.3 Inactive Account Closure
If an account remains inactive without response to verification attempts, ForeverVault may:
a. Freeze the account;
b. Restrict uploads or changes;
c. Schedule the account for closure after a reasonable period (e.g., 24 months).
8. DEATH OF ACCOUNT HOLDER
8.1 Death Reporting
ForeverVault may process a death notification from:
a. A designated Trusted Contact;
b. A court-appointed executor or personal representative;
c. A verified next-of-kin with appropriate documentation.
8.2 Account Status After Death
Upon verified death:
a. The account enters "Deceased Status";
b. Login is disabled;
c. Trusted Contacts or authorized heirs may retrieve User Content;
d. No further uploads or changes may be made.
8.3 Estate Retrieval Period
ForeverVault will maintain the account in Deceased Status for up to twenty-four (24) months, after which:
The account will be closed;
Encrypted User Content will be permanently deleted;
Decryption keys and associated metadata will be purged.
8.4 Unclaimed Accounts
If no heir or executor claims the account within 24 months, ForeverVault may permanently purge the account.
9. DATA STORAGE AND SECURITY
9.1 U.S. Data Storage
All data, including encrypted User Content, is stored exclusively in the United States using Amazon Web Services ("AWS") infrastructure.
9.2 No Guarantee of Data Retention
ForeverVault does not guarantee storage or retention of User Content following:
Account deletion;
Subscription expiration;
Failure to comply with inactivity or death policies;
Service discontinuation.
9.3 Backups
ForeverVault may maintain encrypted backups for operational reliability. Backups follow the same deletion schedule as primary data.
10. BLOCKCHAIN CERTIFICATES
10.1 Overview
Platinum plans may include optional blockchain-anchored timestamp certificates, generated via third-party services such as OpenTimestamps.
10.2 No Legal Guarantee
ForeverVault does not represent or warrant:
The legal validity of blockchain timestamps;
The availability or accuracy of third-party blockchain services;
The acceptance of blockchain-anchored certificates in any jurisdiction.
10.3 No Storage of Blockchain Keys
ForeverVault does not store or manage private keys associated with blockchain operations.
11. SMS AUTHENTICATION AND COMMUNICATIONS
11.1 Consent to SMS
By registering an account, you consent to receive SMS messages for:
One-time passcodes;
Account verification;
Multi-factor authentication;
Security notices.
11.2 Necessary Communications
SMS messages related to account security are required for Service operation and cannot be opted out without disabling such features.
11.3 Message Rates
Standard messaging and data rates may apply.
12. PROHIBITED USES
You may not use the Service to:
a. Violate any law or regulation;
b. Upload malicious content or harmful code;
c. Interfere with Service operations;
d. Attempt to bypass or disable security mechanisms;
e. Scrape, harvest, or access the Service using automated tools;
f. Store cryptographic private keys or seed phrases for third-party wallets or accounts;
g. Access or attempt to access other users' Content without authorization.
13. SERVICE MODIFICATIONS
ForeverVault may modify, suspend, or discontinue the Service or any portion thereof at any time, including:
Features, functionality, or interfaces;
Storage limits;
Subscription plans;
Access methods.
Lifetime plans do not prevent modification or discontinuation of the Service.
14. TERMINATION
14.1 By User
You may stop using the Service or delete your account at any time.
14.2 By ForeverVault
ForeverVault may suspend or terminate an account for:
a. Violation of these Terms;
b. Illegal or harmful activity;
c. Failure to respond to inactivity notices;
d. Death and expiration of the 24-month retrieval period;
e. Non-payment for subscription plans.
14.3 Effect of Termination
Upon termination:
Access to the Service is revoked;
Encrypted User Content may be deleted;
ForeverVault has no obligation to maintain or provide backups.
15. DISCLAIMERS
To the fullest extent permitted by law:
a. The Service is provided on an "AS IS" and "AS AVAILABLE" basis;
b. ForeverVault disclaims all warranties, express or implied, including fitness for a particular purpose;
c. ForeverVault does not warrant that the Service will be uninterrupted, error-free, or immune from unauthorized access;
d. ForeverVault does not guarantee the recoverability, retention, or legal sufficiency of User Content or blockchain certificates.
16. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
a. ForeverVault shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages;
b. ForeverVault's total liability for any claim shall not exceed the amount paid by you for the Service in the twelve (12) months preceding the event giving rise to the claim;
c. ForeverVault is not responsible for losses arising from forgotten passwords, lost encryption keys, or user error.
Some jurisdictions do not allow certain limitations; in such cases, limitations apply to the fullest extent permitted.
17. INDEMNIFICATION
You agree to indemnify and hold harmless ForeverVault from any claims, losses, liabilities, costs, and expenses arising out of:
a. Your use of the Service;
b. Violation of these Terms;
c. Uploaded User Content;
d. Misuse of sharing features;
e. Actions by heirs or trusted contacts.
18. ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER
18.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules.
18.2 Class-Action Waiver
You agree to resolve disputes only on an individual basis. You waive the right to participate in class actions, class arbitrations, or representative actions.
18.3 Opt-Out Option
You may opt out of arbitration by sending written notice within 30 days of account creation to:

19. GOVERNING LAW
These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws principles.
Venue for any permitted court actions shall be in state or federal courts located in Arizona.
20. SEVERABILITY
If any provision of these Terms is found unenforceable, the remaining provisions remain in full force.
21. CHANGES TO THESE TERMS
ForeverVault may modify these Terms at any time. Continued use of the Service constitutes acceptance of updated Terms.
